SpaceX (SPCX) — Q3 2026 Earnings Review and the Tesla Merger Question
Published · Data as of 2026-10-20 close; 8-K filed 2026-10-20. Figures are as of the dates shown and will not be updated.
How this report was made. An AI research agent (Claude Code with the bests.one free-data finance tools) produced this note on 2026-10-21. Every reported figure comes from SpaceX's Q3 2026 earnings release (8-K, EX-99.1, filed with the SEC on 2026-10-20) or unofficial Yahoo Finance prices. Earnings-call remarks, analyst views and consensus figures come from news coverage and are tagged
[WEB]with the outlet and a link. We did not read a call transcript. Read the method: How we test.Educational sample, not investment advice. Nothing here is a recommendation to buy, sell or hold any security. bests.one is independent and not affiliated with SpaceX, Tesla, xAI, Anthropic, or any data provider mentioned.
Read this first. Elon Musk's numbers from the call (10 GW of compute, 20 GW of new power, $500B to $1T of annual revenue) are company targets. They are not results, and section 5 sets them next to what was actually reported. The Tesla merger is under study by two board committees. No terms exist yet.
Quarter: Q3 2026, ended 2026-09-30 (reported 2026-10-20) | Analysis date: 2026-10-21 | Price: $147.79 (close 2026-10-20, before the release) Units: $ in millions unless stated. "SI" (Super Intelligence) is the segment SpaceX previously reported as AI; it holds xAI, Grok, X advertising and, since August 14, Cursor.
1. Key takeaways
- Revenue was $14.6B, up 161% year over year and 87% from Q2. Consensus was about $12.7B
[WEB: LSEG via CNBC and Bloomberg via Basenor, 2026-10-20]. More than half of the quarter's revenue came from the SI segment. - SI revenue tripled in one quarter, to $7.56B from $2.56B. The filing credits new cloud services agreements (renting compute to outside customers), the Cursor acquisition and Grok adoption. Cursor added $608M. Without it, SI still grew 171% from Q2.
- The $4.4B net profit leans on items below operating income. Operating income was $2.79B. Net interest, other income and a tax benefit added $1.61B, or 37% of net income. Section 3 has the bridge.
- Operating income is also held down by a cost that will keep coming. SI booked $1.22B of share-based pay tied to the Cursor deal. SpaceX says $23.4B of Cursor-related awards will be expensed over future service periods, so this charge is not a one-off.
- Starlink is still the profit engine. Connectivity revenue rose 69% to $5.25B with $2.37B of operating income. Consumer subscribers reached 13.6M and monthly ARPU rose to $69 from $66 in Q2.
- Capex was $19.6B in the quarter, 1.3 times revenue. Of that, $16.4B went to SI compute. Nine-month capex of $48.1B compares with $13.1B of operating cash flow. The gap was covered by June's IPO and new debt.
- A SpaceX–Tesla merger is being studied, not negotiated to terms. Both boards have special committees of independent directors. Musk says a deal would be good but "overstating" to call it certain, and Tesla needs approval from 50% of all its shares, not just of shares voted.

Space. 35 launches, down from 44 a year ago, with 12 for customers. Starship Flight 14 was the first orbital Starship flight and the first that earned revenue. It carried 26 Starlink V3 satellites, which SpaceX says add about 10 times the downlink capacity of a Falcon 9 Starlink launch. The segment roughly broke even after $1.23B of R&D, most of it Starship.
Connectivity. Consumer revenue was $3.12B and enterprise and government revenue $2.13B (+91% YoY). Subscribers grew by 1.6M in the quarter, which SpaceX attributes mainly to developed markets. ARPU is still below the $83 of a year ago, though it rose 5% from Q2. After the quarter, SpaceX agreed to buy 800 MHz spectrum licenses for its Starlink Mobile plan, expected to close in the first half of 2027.
SI. Nameplate compute reached 1.7 GW, from 1.4 GW in June and 0.6 GW a year ago, as the Colossus II build continued. Of the $7.56B, $538M was advertising and $7.02B was "SI solutions and infrastructure". The filing does not split cloud rental from Grok and Cursor subscriptions.
3. Earnings quality: from operating income to net income
A breakdown shared on X by @qinbafrank warned that net income was propped up by non-recurring items. We could not open the thread, so the bridge below is our own reading of the income statement.
| $M | Q3 2026 |
|---|---|
| Income from operations | 2,791 |
| Interest income (mostly IPO cash) | +873 |
| Interest expense | −675 |
| Other income, net (includes $561 from related parties) | +1,025 |
| Income before taxes | 4,014 |
| Income tax benefit | +390 |
| Net income | 4,404 |
- Non-operating items and the tax line added $1,613M, or 37% of net income. "Other income" is volatile: it was a combined loss of $1,962M in the first half, and the nine-month cash flow statement shows a $1,545M loss on debt extinguishment. It should not be extrapolated.
- Operating income understates the core business by the Cursor charge. Adding back the $1,217M of acquisition-related share-based pay, SI operating income would be about $1.65B rather than $431M.
- Three ways to read the same quarter: GAAP net margin 30%, GAAP operating margin 19%, adjusted EBITDA margin 60%. The adjusted figure excludes $3.6B of depreciation, which will grow as the GPU fleet grows.
Diluted EPS was $0.35 on 12,475M weighted diluted shares. One outlet reported adjusted EPS of $0.45 against $0.13 expected [WEB: CNBC, as cited in news coverage, 2026-10-20]. SpaceX's release does not define an adjusted EPS figure, so we could not reconcile it.
4. Cash, capex and funding
| $M | Nine months to 2026-09-30 |
|---|---|
| Operating cash flow | 13,097 |
| Capex | (48,069) |
| Operating cash flow minus capex | (34,972) |
| IPO proceeds, net | 85,675 |
| New debt and financing | 51,834 |
| Debt repaid | (39,845) |
- Liquidity: $51.3B of cash plus $38.6B of marketable securities, $89.9B in total, at quarter end.
- Debt and finance leases: $38.8B, of which $12.9B is owed to related parties.
- Deferred revenue (current plus long-term) was $17.5B, up from $12.1B at the start of the year. Prepaid cloud contracts are one possible source; the release does not say.
- Runway: at roughly $20B of capex a quarter, cash on hand plus operating cash flow covers well over a year. After that, the build-out depends on debt markets. Morgan Stanley calls financing the biggest risk in its model and assumes bond issuance of $60B, $80B and $90B in 2027, 2028 and 2029
[WEB: Morgan Stanley pre-earnings note as summarised by Zhitong Finance on Investing.com China, Oct 2026]. - Lockups: about 1.3B shares unlock after Q3 results and about 2.4B in total by year end, per the same note.
5. Musk's targets vs what was reported
These come from the earnings call and Musk's posts on X [WEB: Sina Finance call summary, 2026-10-21; Musk on X, 2026-10-20].
| Area | Reported (Q3 2026) | Target from the call | How it compares |
|---|---|---|---|
| Compute | 1.7 GW nameplate | 2.5–3 GW by end-2026; "pretty confident" of 10 GW in 2027, surprised if below 13 GW | Sell-side consensus is about 6 GW by end-2027; Morgan Stanley models 4.9 GW [WEB: Morgan Stanley via Zhitong] |
| Power | Not disclosed | 20 GW of additional power and cooling in 2027 | Musk says power and cooling, not chips, are the constraint |
| GPUs | Not disclosed | About 200,000 GB300s a month for the rest of 2026; a 440,000-GPU Vera Rubin training cluster by end of Q2 2027 | |
| Revenue | $58.3B annualised (Q3 × 4) | $500B to $1T annual recurring revenue by end-2027 | 8.6 to 17 times the current run rate within about five quarters |
The compute, power and GPU targets are the ones to track. SpaceX reports nameplate compute every quarter, so they can be checked long before the revenue goal can.
6. The Tesla merger: what is known
Facts so far
- Both companies formed special committees of independent directors to evaluate a combination. Musk said he is conflicted and does not take part. He called a merger a good idea, citing AI, chips, robotics and connectivity, but said that treating it as certain "would be overstating it"
[WEB: TechCrunch, NBC News, Fortune, 2026-10-20]. - Tesla would need approval from 50% of all outstanding shares, not just a majority of votes cast. Musk called that "quite a high hurdle".
- Neither the SpaceX 8-K nor any Tesla filing mentions the committees. The only source is the earnings webcast.
- Size: at the 2026-10-20 close, SpaceX was worth about $2.0T ($147.79 × 13.58B Class A and B shares) and Tesla about $1.48T ($373.71 × 3.95B shares), about $3.5T combined.
- After hours, outlets reported SpaceX up between roughly 2% and 5%, and Tesla up about 1.2%
[WEB: Bloomberg Law, CNBC, Investing.com, 2026-10-20].
What analysts are saying [WEB]
| Who | View |
|---|---|
| Barclays (Dan Levy) | Most likely structure is SpaceX buying Tesla in an all-stock deal, leaving Musk with about 37% of the equity and 56% of the votes. An announcement could come before Tesla's annual meeting in early December. Sees the Terafab chip project as a key driver. |
| Deepwater (Gene Munster) | 95% chance of a combination within two years. |
| Wedbush (Dan Ives) | Expects the two to merge in 2027. |
| ARK Invest | Sees a merger within five years. |
| RBC (Tom Narayan) | The synergies are real, but SpaceX would have to pay a large premium, which he puts at about $480 per Tesla share. |
| Future Fund (Gary Black) | An all-stock deal would let merger arbitrage erode much of the premium for Tesla holders. |

What would change the picture: published terms and an exchange ratio; any Tesla 8-K or proxy language on the committees; how Tesla's 50%-of-outstanding threshold would be met given its large retail base; and whether a combined company would keep steering capital toward compute rather than cars.
7. What to watch
| When | Event |
|---|---|
| 2026-10-21, after the close | Tesla Q3 2026 results and webcast (Tesla 8-K). Watch for any comment on the committees. |
| Late Oct to early Dec | Window in which Barclays expects merger terms, if a deal happens. |
| Early to mid November | Starship Flight 15. Morgan Stanley sees a ship catch, if attempted and successful, as the biggest catalyst since the IPO [WEB: Morgan Stanley via Zhitong]. |
| Early December | Tesla annual shareholder meeting. |
| By end-2026 | About 2.4B SpaceX shares unlocked; compute at 2.5–3 GW if the target holds. |
| End of Q2 2027 | The 440,000-GPU Vera Rubin cluster, the first hard test of the 2027 targets. |
8. Data gaps
- No call transcript was read. Musk's remarks come from news summaries and his posts on X, and wording may differ from the transcript at ir.spacex.com.
- Consensus figures differ by provider (LSEG, Bloomberg, S&P Capital IQ) and were taken from news coverage, not from the providers.
- Morgan Stanley's views come from a Chinese-language summary of a pre-earnings note, not the note itself.
- The 10-Q for the quarter was not read, so segment detail beyond the release, customer concentration and the terms of the related-party items are not covered.
- The @qinbafrank thread could not be opened; section 3 is our own analysis.
- The release does not split SI revenue between cloud rental, Grok and Cursor, or give contract lengths for the cloud deals.
